TERMS AND CONDITIONS OF SALE

1.GENERAL

This Agreement contains the terms and conditions that apply to your purchase from the Horizon Source entity named on the INVOICE (“Horizon Source ”) that will be provided to you (“Customer”) on orders for products and services sold to you. By accepting delivery of the products and/or services, Customer agrees to be bound by and accepts these terms and conditions. These terms and conditions may NOT be altered, supplemented, or amended by the use of any other document(s). Any attempt to alter, supplement or amend this document or to enter an order for product(s) and/or services which is subject to additional or altered terms and conditions will be null and void, unless otherwise agreed to in a writing signed by Customer and Horizon Source.

2.TERMS OF PAYMENT
Payment are strictly cash with order . Payment for the products will be made by check, wire transfer (T/T) or some other payment method acceptable to Horizon Source, unless a credit account has been established with Horizon Source. All the  prices are based on EX-WORK. Customer shall submit any errors or mistakes on any invoice to Horizon Source in writing within 24 Hours after receipt of such invoice. In the event that Customer fails to notify in 24 hours , Customer will be deemed to have accepted the invoice as accurate and complete. Customer will pay to Horizon Source interest at Three percent per calendar month (running from day to day) overdue 30 days from date of invoice.

3. RE-SCHEDULING OF ORDERS
Delivery of the System will be made in accordance with the delivery schedule.Horizon Source will reschedule according to the customers' requirements. Any stockholding costs will be paid to Horizon Source by the buyer.

4. CANCELLATION
In the event of the cancellation, Horizon Source reserver the rights to charge the buyer up to 100% parts value according to condition of order procedure.

5. DELIVERY
Shipping date quoted by Horizon Source for delivery is given and intended as an estimate only.Horizon Source will deliver items in accordance with the contract.Also Horizon source could arrange different logistic acceptable to buyer.(Shipping charge will be paid by buyer). Buyer will provide official written notification of such damage or loss written notification of such damage or loss in two days, Horizon Source will replace items.

6. OWERSHIP
The property in the goods will remain in Horizon Source until Horizon Source has received payment in full for all sums due and owing on any account by Customer.

7.DEFECTIVE PARTS
Parts shall be inspected immediately on arrival, and offer us written notice in two days if the goods are not in accordance with the contract,If buyer failed to offer us such notice,parts shall be deemed to be accepted and paid accordingly.If any items are or become faulty or defective,Horizon Source will either refund the price of the goods or replace or repair unless official written report provided in 15 days after parts received.

8.DEFAULT
If the Buyer fails to comply with any payment on the due date,or any term of this contract, or commits an act of bankruptcy, or has a receiver appointed,then, in any such case, Horizon Source will have the right (without prejudice to anyother rights) to cancel any uncompleted order and refuse to deliver any further goods to the buyer, and to demand actual payment.

9.LAW
Not for Resale or Sublicense. This agreement and any sales hereunder shall be governed by and construed in accordance with the Laws of People’s Republic of China.

10.FORCE MAJEURE
Horizon Source will not be under any liability of whatever kind for non-performance in whole or in part of its obligations under the contract due to causes beyond the control of Horizon Source or beyond the control of Horizon Source ’s suppliers including, but not limited to, war, terrorism, insurrection, riot or other acts of civil disobedience, acts of Customer or a third party, failure or delay in transportation, acts of any Government or any agency or sub-division thereof, Government regulations, judicial actions, labour disputes, strikes, embargoes, illness, accident, fire,explosion, flood, tempest or other acts of God, delay in delivery to Horizon Source or Horizon Source ’s suppliers or shortage of labour, fuel, raw materials or machinery or technical failure. In any such event, Horizon Source may, without liability, cancel or vary the terms of this agreement including, but not limited to, extending the time forperforming this agreement for a period at least equal to the time lost by reasonof such causes.
